
BondedAI LLC & Bonded Payments Pty Ltd – Terms of Service
Effective Date: 24 March 2025
1 Who We Are
These Terms of Service (“Terms”) form a legally binding agreement between you and the Bonded Group, comprised of:
BondedAI LLC, a Delaware limited‑liability company (US HQ: 1100 South Coast Hwy, Laguna Beach CA 92651, USA); and
Bonded Payments Pty Ltd, an Australian proprietary company with its registered office at Level 7, King William St, Adelaide SA 5000, Australia.
Bonded provides a software platform that enables Australian dental clinics to accept and reconcile card, PayTo and BECS Direct‑Debit payments from their patients.
By creating an account or using any part of the Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
2 Eligibility
You must be at least 18 years of age, or have parental/guardian consent, and be legally capable of entering into a contract under the laws of Australia.
3 Description of Services
Bonded provides:
A PCI‑DSS‑compliant payments interface for clinics and patients;
Access for clinics to view settled transactions and payout history; and
Customer‑support tooling (ticketing, messaging, dispute portal).
We may add, modify or discontinue features on 30 days’ notice (except in urgent security situations).
4 Legal & Regulatory Compliance (Australia)
Australian Consumer Law (ACL). Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other law that cannot be excluded. If the ACL applies, you are entitled to a replacement or refund for a major failure and for compensation for any other reasonably foreseeable loss or damage.
AML/CTF Act 2006 (Cth). Bonded Payments Pty Ltd is a reporting entity. You authorise us to collect and verify KYC information as required by law.
Privacy Act 1988 (Cth). Personal information is handled in accordance with our Privacy Policy and the Australian Privacy Principles.
5 Your Responsibilities
You agree to:
Provide accurate, current and complete information;
Keep your login credentials confidential;
Use the Services only for lawful purposes and in accordance with these Terms and all applicable laws.
We may suspend or terminate your account for breach of these obligations.
6 Payment Terms
When you authorise a payment you:
Warrant that you are the authorised holder of the payment method;
Authorise Bonded and its regulated payment partner Zai to debit your method for the amount shown, plus applicable taxes and surcharges;
Acknowledge that refunds are subject to the clinic’s policy and relevant card‑scheme or BECS rules.
7 Data Security & Privacy
Bonded secures data using encryption in transit and at rest, MFA and least‑privilege IAM. Despite these measures, online services have inherent risks and you accept these risks. Our data‑handling practices are set out in the Privacy Policy.
8 Prohibited Conduct
You must not:
Use the Services for any unlawful or fraudulent purpose;
Interfere with or disrupt the security or performance of the Services;
Introduce malicious code;
Misuse PHI or violate HIPAA or applicable privacy laws.
9 Limitation of Liability
Except for liability that cannot be limited under the ACL, Bonded’s total aggregate liability in connection with the Services is limited to the greater of (A) AUD 100 or (B) the total fees paid by you to Bonded in the 12 months before the claim. Bonded will not be liable for indirect, special or consequential loss.
10 Indemnity
You indemnify Bonded for any loss or claim arising from your breach of these Terms or applicable law, including reasonable legal fees.
11 Suspension & Termination
We may suspend or terminate your access immediately for breach of these Terms, to comply with law, or to protect the security of the platform. Sections 7–12 survive termination.
12 Dispute Resolution & Governing Law
These Terms are governed by the laws of South Australia, Australia. You submit to the exclusive jurisdiction of the courts of Adelaide.
Before commencing court proceedings (other than for urgent interlocutory relief) you must provide written notice of the dispute and the parties will use good‑faith efforts to resolve it within 30 days.
13 Changes to Terms
We may update these Terms by posting a revised version with a new effective date. Material changes will be notified 30 days in advance. Continued use after that date constitutes acceptance.
